By accessing or using any product, service, website, or application operated by Truecare AI Studio (“Company,” “we,” “our,” or “us”) at truecare.ai, you (“User,” “Client,” or “you”) agree to be legally bound by these Terms and Conditions.

If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you must immediately discontinue use of our Services.

Truecare AI Studio provides AI-powered business automation solutions including, but not limited to:

• AI Chatbots & Virtual Assistants — Intelligent automated conversation agents for customer support
• Multi-Channel Support Systems — Unified support across email, chat, SMS, and social platforms
• AI Automation Workflows — Custom pipelines for support routing, escalation, and resolution
• Analytics & Reporting Dashboards — Insights into performance, quality, and customer satisfaction
• Integration Services — Connecting AI tools with CRM, helpdesk, and e-commerce platforms
• Consulting & Custom AI Development — Tailored AI strategy and implementation

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter a binding contract. Our Services are intended for business use only.

3.2 Account Creation

You agree to provide accurate, complete information; maintain confidentiality of your credentials; notify us immediately of unauthorized access; and accept responsibility for all activity under your account.

3.3 Account Security

You are solely responsible for all actions taken under your account. Truecare AI Studio will not be liable for any loss arising from your failure to protect your login credentials.

4.1 Pricing

Access requires a paid subscription. All prices are listed in USD unless otherwise stated and may be updated periodically.

4.2 Billing Cycle

Subscriptions are billed monthly or annually as selected and renew automatically unless cancelled.

4.3 Payment Methods

We accept major credit/debit cards and other payment methods shown at checkout. By providing payment details, you authorize recurring charges.

4.4 Late or Failed Payments

Failed payments may result in account suspension. We reserve the right to charge interest at 1.5% per month on overdue amounts (or the maximum permitted by law).

4.5 Price Changes

We will provide at least 30 days’ written notice before changing subscription pricing. Continued use after the effective date constitutes acceptance.

4.6 Taxes

All fees are exclusive of applicable taxes (VAT, GST, sales tax). You are responsible for all applicable taxes in your jurisdiction.

Free trials are available to new users only, at our sole discretion. At the end of a trial, your account converts automatically to a paid subscription unless cancelled before the trial expires.

Promotional rates are time-limited and may not be combined with other offers unless stated. We reserve the right to discontinue promotions at any time.

Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for mid-cycle cancellations.

Refunds may be considered at our discretion in cases of material service failure or billing errors. Submit requests within 14 days of the charge to [email protected].

You agree to use our Services only for lawful, legitimate business purposes. The following are strictly prohibited:

8.1 Nature of AI Outputs

Our AI systems generate responses based on machine learning models. Outputs may contain errors, inaccuracies, or omissions and should be reviewed by qualified humans before use in critical decisions.

8.2 Your Responsibility for AI Deployment

When you deploy our AI tools to interact with your end users, you are solely responsible for:

• Ensuring AI interactions comply with all applicable laws including consumer protection rules
• Informing your end users they are interacting with an AI system where required by law
• Reviewing and approving AI response templates and knowledge bases before deployment
• Monitoring AI behavior and implementing appropriate human oversight

8.3 AI Training Data

We may use anonymized and aggregated interaction data to improve AI models. Identifiable data will not be used for training without your explicit written consent. Opt out anytime at [email protected].

8.4 No Professional Advice

Our AI tools must not be used to deliver medical, legal, financial, or regulated professional advice without appropriate human oversight and proper disclaimers.

8.5 Automated Decision-Making

If our tools are used in contexts that significantly affect individuals, you are responsible for compliance with applicable automated decision-making laws, including GDPR Article 22.

9.1 Our IP

All content, technology, software, algorithms, designs, trademarks, and documentation are the exclusive property of Truecare AI Studio or its licensors. Nothing in these Terms grants you rights to our IP beyond express permissions.

9.2 Your Client Data

You retain full ownership of all data and materials you upload or configure on our platform. You grant us a limited, non-exclusive, royalty-free license to process your data solely to deliver the Services.

9.3 Feedback

Any feedback or suggestions you provide may be used by us freely, without obligation or compensation.

Both parties agree to keep confidential all non-public information disclosed by the other party and not disclose it to third parties without prior written consent.

Obligations do not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law. Confidentiality obligations survive termination for 3 years.

Your use of our Services is also governed by our Privacy Policy, incorporated into these Terms by reference.

Where we process personal data as your Data Processor, any executed Data Processing Agreement (DPA) governs such processing. We will notify you of any confirmed data breach affecting your Client Data within 72 hours of discovery.

Our platform may integrate with third-party services (e.g., CRM platforms, payment gateways, communication tools). We are not responsible for the availability, accuracy, or security of any third-party services. Your use of those services is governed by their own terms and privacy policies.

We disclaim all warranties of merchantability, fitness for a particular purpose, uninterrupted or error-free operation, accuracy of AI-generated outputs, and correction of defects. We do not warrant that Services will meet your specific requirements.

14.1 Cap on Liability

Truecare AI Studio’s total aggregate liability for all claims shall not exceed the total fees paid by you in the 3 months immediately preceding the claim.

14.2 Excluded Damages

You agree to indemnify, defend, and hold harmless Truecare AI Studio, its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:

• Your use of the Services in violation of these Terms
• Your deployment of AI tools to your end users
• Your Client Data or content
• Your violation of any third-party rights or applicable law
• Any claim by your end users arising from your use of our AI tools

16.1 Termination by You

You may cancel your subscription at any time via account settings or by contacting [email protected]. Cancellation takes effect at end of the current billing period.

16.2 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited activities, fail to pay fees, or become insolvent.

16.3 Effect of Termination

Upon termination, access ceases and you may request Client Data export within 30 days. Sections 9, 10, 13, 14, 15, and 17 survive termination indefinitely.

These Terms are governed by the laws of [Your Jurisdiction]. Before formal proceedings, both parties agree to attempt good-faith resolution by emailing [email protected]. If unresolved within 30 days, disputes proceed to binding arbitration. Class actions are waived. Either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms at any time. Material changes will be communicated via email and in-platform notice with 30 days’ advance notice (immediate for legal/compliance changes). Continued use after the effective date constitutes acceptance.
